Buy-Side and Sell-Side Mandates
Buying or selling a business is one of the biggest decisions an owner or board will make. We act as your adviser through the process, so you know what the business is worth, what to expect at each stage, and what the terms really mean.
Who it is for
- Owners and families thinking about selling all or part of a business
- Founders planning succession or bringing in a partner
- Companies that want to buy a competitor, supplier or new line of business
- Investors and boards reviewing an acquisition
If you are buying (buy-side)
- Define what a good target looks like, in numbers and in strategy
- Screen opportunities against your criteria
- Value each target and set the most you should pay
- Review the financial information you are given
- Support negotiation of price and key terms
If you are selling (sell-side)
- Clean up the financial information and calculate normalised EBITDA
- Set a realistic value range and explain how we reached it
- Prepare an information memorandum and organise the data room
- Help you handle buyer questions without giving away too much
- Support negotiation of price, structure and terms
What you get
- A value range with the reasoning behind it
- A clean financial summary that buyers or investors can follow
- A draft information memorandum (sell-side) or a target screening summary (buy-side)
- A comparison of offers or terms, in plain English
- Negotiation notes you can use in the room

Questions
Do you find buyers or sellers for me?
We focus on advice, valuation and preparation. If you already have counterparties, we support you through the process. If you need a licensed intermediary to approach buyers or sellers, we work alongside one of your choice.
How long does a sale or purchase take?
It depends on the size of the business, how clean the information is, and how interested the other side is. Months rather than weeks is normal. After the first review we give you a realistic timeline.
What will it cost?
Fees depend on the scope and are agreed in writing before work begins.
